Tennessee NDA Law: Rule of Reasonableness & TUTSA Standards

Protecting proprietary clinical models, entertainment publishing assets, and freight systems requires compliance with the Tennessee Uniform Trade Secrets Act (TUTSA, T.C.A. § 47-25-1701 et seq.) and Tennessee common law.

The Rule of Reasonableness: Vantage Technology Standard

Tennessee courts evaluate Non-Disclosure Agreements and restrictive covenants under the Rule of Reasonableness (Vantage Technology, LLC v. Cross, 1999). Under Tennessee law, a covenant is enforceable if it: (1) protects a legitimate business interest of the employer; (2) is reasonable in time and geographic scope; and (3) does not impose an undue hardship on the employee or harm the public. If an agreement contains an unreasonable duration or geographical scope, Tennessee courts possess the equitable power to modify the covenant and enforce it to the extent reasonable.

Tennessee Uniform Trade Secrets Act (TUTSA)

Under TUTSA (T.C.A. § 47-25-1701), trade secrets are defined broadly to encompass formulas, compilations, programs, devices, methods, techniques, or financial data that derive independent economic value from being kept confidential. Under T.C.A. § 47-25-1703, Tennessee courts issue emergency injunctions against misappropriation. Damages can include both actual loss and unjust enrichment, with double exemplary damages and attorney's fees available for willful and malicious theft (T.C.A. § 47-25-1704).

Statute of Limitations: T.C.A. § 28-3-109

Under Tennessee Code Annotated § 28-3-109(a)(3), the statute of limitations for an action on a contract in writing is 6 years. Misappropriation actions under TUTSA must be filed within 3 years after the misappropriation is discovered or should have been discovered (T.C.A. § 47-25-1707).
