Washington State NDA Law: RCW 49.62 Thresholds & WUTSA Compliance

Washington State is a global nexus for cloud computing, aerospace, software engineering, and retail innovation (headquarters to Microsoft, Amazon, Boeing, and Starbucks). In recent years, the Washington State Legislature enacted some of the most aggressive employee protection statutes in the United States. Navigating confidentiality and non-disclosure in Washington requires careful compliance with the Washington Uniform Trade Secrets Act (WUTSA, RCW 19.108 et seq.) and the landmark Non-Compete Law (RCW 49.62).

Strict Earning Thresholds Under RCW 49.62

Under Washington's RCW 49.62 (effective 2020, amended 2024), covenants not to compete are void and unenforceable by default unless the worker's annual earnings exceed statutory thresholds adjusted annually for inflation by the Department of Labor & Industries: $120,559+ for employees and $301,399+ for independent contractors (2024 thresholds). If an NDA is drafted so broadly that it effectively prevents a worker from taking a job in their field, Washington courts will treat it as a disguised non-compete and void it entirely. Furthermore, employers who attempt to enforce a void covenant are subject to mandatory statutory damages of $5,000 plus attorney's fees.

Protection of Trade Secrets Under WUTSA (RCW 19.108)

While Washington heavily restricts non-competes, legitimate Non-Disclosure Agreements protecting proprietary trade secrets remain fully enforceable under WUTSA. Trade secrets encompass proprietary algorithms, source code, server architectures, and confidential financial roadmaps. WUTSA provides for temporary and permanent injunctive relief (RCW 19.108.020), actual damages, and exemplary damages up to twice the actual award for willful misappropriation (RCW 19.108.030).

The Silenced No More Act (RCW 49.44.211)

Washington's Silenced No More Act prohibits non-disclosure or non-disparagement provisions in employment agreements that prevent workers from disclosing conduct that they reasonably believe to be illegal discrimination, harassment, retaliation, wage violations, or sexual assault. Any NDA entered into with Washington employees or contractors must include an explicit carve-out for these legally protected disclosures.

Statute of Limitations: RCW 4.16.040

Under RCW 4.16.040, Washington provides a 6-year statute of limitations for breach of a written contract. Misappropriation claims under WUTSA must be brought within 3 years after the misappropriation is discovered or should have been discovered (RCW 19.108.060).
