MUTUAL NON-DISCLOSURE AGREEMENT

This Mutual Non-Disclosure Agreement (the "Agreement") is entered into as of [EFFECTIVE_DATE], by and between [PARTY_A_NAME], a [PARTY_A_TYPE] ("Party A"), and [PARTY_B_NAME], a [PARTY_B_TYPE] ("Party B").

1. PURPOSE

2. CONFIDENTIAL INFORMATION
"Confidential Information" means any information disclosed by one party to the other party, either directly or indirectly, in writing, orally, or by inspection of tangible objects, which is designated as "Confidential," "Proprietary," or some similar designation.

3. PROTECTION OF CONFIDENTIAL INFORMATION
Each party agrees: (i) to hold the other party's Confidential Information in confidence and to take reasonable precautions to protect such Confidential Information; (ii) not to use any Confidential Information of the other party except for the Purpose; and (iii) not to disclose any Confidential Information of the other party to third parties without the prior written consent of the disclosing party.

4. EXCLUSIONS
Confidential Information shall not include any information which the receiving party can show: (i) is or becomes part of the public domain through no fault of the receiving party; (ii) was in its possession prior to the time of disclosure; (iii) is properly and lawfully obtained from a third party without restriction on use or disclosure; or (iv) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

5. TERM AND TERMINATION
This Agreement shall remain in effect for a period of two years from the date of disclosure. Either party may terminate this Agreement at any time by providing written notice to the other party.

6. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of [GOVERNING_LAW_STATE], without reference to conflict of laws principles.
